Terms of Service (Public Offer)
Version of
This document is a public offer by Sole proprietor (FOP) Hlieb Pavlovych Tovsteniuk (the Provider) to enter into an agreement for marketing consulting services on the terms below, under Articles 633, 641 and 642 of the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce”. In case of any discrepancy, the Ukrainian version prevails.
1. Definitions
- Site — tovsteniuk.com and all its pages.
- Client — an individual, sole proprietor or legal entity that accepts this offer.
- Services — marketing consulting services listed on the Site with their scope, duration and price: consultation, two consultations, strategy session, marketing audit, ongoing support.
- Request — a request sent by the Client via the Site form, Telegram or email.
- Meeting — an online (Google Meet, Zoom) or in-person meeting where the Services are delivered.
2. Subject
The Provider undertakes to deliver the Services chosen by the Client, and the Client undertakes to accept and pay for them under these terms.
The Services are advisory: the Provider analyses the Client’s situation and gives recommendations. The Provider does not guarantee specific financial results, as they depend on the Client’s implementation, the market and other factors beyond the Provider’s control.
3. Acceptance
A Request on the Site is not a payment and does not bind the Client. After receiving a Request, the Provider contacts the Client within one business day to agree on the Service, date, time and final price, and sends an invoice or payment link.
Payment of the deposit constitutes full and unconditional acceptance of this offer. From the moment the deposit is received, the agreement is concluded in electronic form under Articles 11 and 12 of the Law of Ukraine “On Electronic Commerce” and has the same legal force as a written agreement. Companies may additionally sign a contract and completion acts on paper or with a qualified electronic signature.
4. Price and payment
Prices are shown on the Site in euros. For Services marked “from” and for ongoing support, the final price is agreed before the Services begin.
Payment is made in Ukrainian hryvnias at the official National Bank of Ukraine rate on the invoice date, unless agreed otherwise — by card, Apple Pay or Google Pay via a payment provider, or by bank transfer against an invoice. Clients outside Ukraine may pay in euros by agreement.
A 50% deposit is paid once the date and time are agreed; the remaining 50% is paid after the Meeting (for an audit — after the report presentation). Ongoing support is paid monthly in advance unless agreed otherwise. The Provider is a single-tax payer (group [N]), not a VAT payer; fiscal receipts are issued where required by Ukrainian law.
5. Delivery
After the deposit, the Provider sends a short questionnaire and the meeting link or address. Meetings are recorded only with the Client’s consent. For an audit, the Client grants guest access to ad accounts, analytics and the website; the audit period starts once all access is granted.
The Services are deemed delivered after the Meeting and handover of the materials described for the Service. If the Client raises no reasoned objections within 3 business days, the Services are deemed accepted. A completion act is provided on request.
6. Rescheduling, cancellation and refunds
- The Client may reschedule free of charge with at least 24 hours’ notice.
- If the Client cancels more than 24 hours before the Meeting, the deposit is refunded in full within 7 calendar days.
- If the Client cancels less than 24 hours before or does not attend, the deposit is retained as compensation for the reserved time (Article 907 of the Civil Code of Ukraine).
- If the Provider reschedules or cancels, the Client chooses a new time or receives a full refund.
- Refunds are made by the original payment method.
Consumers retain all rights under applicable consumer protection law. Where the Client is a consumer in the EU, the right of withdrawal from a distance contract is lost once the Service has been fully performed with the consumer’s prior express consent.
7. Obligations
The Provider delivers the Services personally, professionally and on time, keeps the Client’s information confidential and informs the Client of anything preventing delivery. The Client provides accurate information, pays on time and keeps to agreed Meeting times.
8. Confidentiality and intellectual property
Neither party discloses information received from the other, except as required by law. The Provider may mention the Client in a portfolio only with separate consent. The Client may freely use materials prepared for them for their own purposes; the Provider’s methods and templates remain the Provider’s intellectual property.
9. Liability
The Provider’s total liability is limited to the amount paid for the relevant Service, except where the law provides otherwise (including consumer rights). Decisions based on the recommendations are made by the Client at the Client’s own discretion.
10. Force majeure
Neither party is liable for failure caused by force majeure, including hostilities and prolonged power or communication outages. In such cases the Meeting is moved to the earliest possible time or the payment is refunded, at the Client’s choice.
11. Disputes and governing law
These terms are governed by the law of Ukraine. Disputes are resolved by negotiation, failing which by the courts of Ukraine. Consumers keep the protection of the mandatory law of their country of residence.
12. Changes
The Provider may update these terms by publishing a new version on the Site; changes do not affect Services already paid for.
